Abstract: The pace of corporate mergers and acquisitions is accelerating in the USA. But historically, such restructuring attempts have proved successful in only 50% of cases. At the same time, merger and acquisition activities are becoming increasingly complex. As a result, the need to think through and devise strategies that increase the probability of success in corporate take-overs is becoming more compelling. A crucial part of this process is the |due diligence| review – a complex fact-finding mechanism designed to structure the acquisition decision-making process.
